1. Acceptance of Terms
By accessing or using octo.taxi (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Octily GmbH ("we", "us", "our").
2. Service Description
octo.taxi is a B2B HR analytics platform that enables organizations to replicate, explore, and analyze their Cornerstone OnDemand data. The Service includes:
- Data synchronization: Automated replication of your Cornerstone portal data via DEAPI (Data Extract API) into a dedicated, tenant-isolated PostgreSQL database.
- Dashboards: Pre-built Workforce, Learning, and Performance dashboards with KPIs, breakdowns, and trend analysis.
- AI-powered querying: Natural-language questions translated to SQL queries and answered by AI (powered by Anthropic Claude).
- Data Explorer: Visual query builder with filtering, sorting, and CSV export, plus raw SQL access.
- BI tool access: Direct PostgreSQL connection for tools like Power BI, Tableau, or Looker Studio.
- Anomaly detection: Automated statistical checks after each sync cycle.
3. Eligibility
The Service is intended for business use by authorized representatives of organizations. By using the Service, you represent that:
- You are at least 16 years of age.
- You have the authority to bind your organization to these Terms.
- Your use of the Service complies with all applicable laws and regulations.
4. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Ensuring that your Cornerstone OnDemand API credentials are kept secure.
- Notifying us immediately at octily@octily.com if you suspect unauthorized access to your account.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Share your account credentials with unauthorized third parties.
- Use the Service to process data that you do not have the right to access or use.
6. AI-Assisted Features
The Service includes AI-powered features provided through Anthropic Claude:
- How it works: Your natural-language questions are sent to Anthropic's API, which translates them into SQL queries and generates answers based on your data.
- Data sent to Anthropic: Your questions (which may include employee names or HR context) and relevant database schema information are transmitted to Anthropic for processing.
- No data retention: Anthropic does not retain your input or output data for model training, in accordance with their API Terms of Service.
- Accuracy disclaimer: AI-generated answers are provided as-is and may contain inaccuracies. You should verify critical business decisions independently and not rely solely on AI-generated outputs.
- Optional feature: AI querying is optional. All other Service features (dashboards, data explorer, BI access) function without AI.
7. Subscription and Payments
- Pricing: The Service is offered on a subscription basis as described on our pricing page. Prices are in EUR and exclude applicable taxes.
- Payment processing: Payments are processed securely by Stripe Inc. We do not store your credit card information.
- Billing cycle: Subscriptions may be billed monthly or annually, depending on your chosen plan.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued for partial periods.
- Price changes: We reserve the right to modify pricing with at least 30 days' notice. Price changes take effect at the start of the next billing cycle.
8. Data and Privacy
Your privacy is important to us. Our processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. Key points:
- Your HR data is stored in a dedicated, tenant-isolated database schema.
- We do not sell, share, or use your data for purposes other than providing the Service.
- You retain full ownership of your data at all times.
- You may request export or deletion of your data at any time.
9. Service Availability
- We strive to maintain high availability of the Service but do not guarantee uninterrupted access.
- We may perform scheduled maintenance with reasonable advance notice.
- We are not liable for temporary unavailability due to factors beyond our reasonable control, including but not limited to internet outages, third-party service disruptions, or force majeure events.
10. Termination
- By you: You may terminate your account at any time by contacting us at octily@octily.com.
- By us: We may suspend or terminate your account if you violate these Terms or if required by law.
- Effect of termination: Upon termination, your access to the Service will cease. All associated data (including synced HR data, account information, and query history) will be permanently deleted within 30 days of termination, unless retention is required by law.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- Our total liability for any claim arising from these Terms or the use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
- Nothing in these Terms excludes or limits our liability for fraud, gross negligence, or any liability that cannot be excluded by applicable law.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on this page with a revised "Last updated" date and, where appropriate, notifying you via email. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany. If you are a consumer within the European Union, you also enjoy the protection of the mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer under applicable EU law.
